Terms and Conditions
These Terms and Conditions establish the professional working relationship between Megawebs and its clients regarding software development, digital product creation, software licensing, deployment, maintenance, and technology services.
At Megawebs, we believe successful technology projects are built through transparency, collaboration, and a clear understanding of responsibilities between the technology provider and the business owner. These terms define the services provided, commercial models available, ownership structures, and the rights of both parties.
By accessing Megawebs services, engaging Megawebs for a project, approving a quotation, proposal, or agreement, the client acknowledges and agrees to these Terms and Conditions. These terms apply to all software solutions, websites, mobile applications, digital platforms, and technology services developed or provided by Megawebs.
Services
Megawebs provides professional technology solutions designed to help businesses build, improve, and scale their digital operations. Our services include custom software development, web development, mobile applications, UI/UX design, cloud solutions, system integration, software maintenance, and digital technology consulting.
Each project is approached with a focus on reliability, scalability, security, and long-term business value. The specific services, features, timelines, and deliverables for each project are defined through an approved quotation, proposal, or development agreement.
Payments
Clients agree to complete payments according to the approved quotation, proposal, invoice, service package, or other confirmed project arrangement provided by Megawebs. Payment schedules may vary depending on project scope, complexity, selected commercial model, and the agreed delivery structure.
Unless otherwise agreed in writing, project development begins after the required initial payment has been received. This allows Megawebs to allocate development resources, begin project planning, and commit the necessary technical infrastructure for successful delivery.
Payments made for completed project milestones, delivered services, or completed development stages remain payable according to the agreed project terms.
Megawebs Standard Commercial Pricing Model
All prices published on the Megawebs website, service pages, and marketing materials are based on Megawebs' standard Platform Ownership (Software Licensing) Modelunless a different commercial arrangement is specifically agreed in writing.
This model is designed to provide businesses with access to professionally developed digital solutions that they can operate, customize through approved services, and use to grow their business without requiring the purchase of the underlying software technology.
Standard pricing includes the development, configuration, deployment, and delivery of a functional software solution based on the agreed project requirements. Each project is delivered with the necessary technical implementation required for the client to operate their digital platform successfully.
Unless specifically included in a separate agreement, standard pricing does not include transfer of source code ownership, intellectual property ownership of Megawebs' underlying technology, resale rights, redistribution rights, or rights to commercially license the software to third parties.
Megawebs Developer Attribution
As part of Megawebs' standard licensing model, websites and digital platforms developed under standard pricing packages may include a professional developer attribution in the footer, such as:
- Powered by Megawebs
- Developed by Megawebs
This attribution represents Megawebs' role as the technology partner responsible for designing, developing, and maintaining the digital solution. It also allows Megawebs to showcase its contribution to the technology ecosystem while providing clients with a cost-effective development option.
White Label Licensing
Businesses requiring a fully branded solution without Megawebs attribution may request a White Label Licensing upgrade.
White Label Licensing allows the client to present the platform exclusively under their own brand identity, removing public Megawebs developer attribution from the delivered solution.
White Label Licensing is generally priced at two (2) times the original project purchase priceunless otherwise determined based on project scope, complexity, and commercial requirements.
White Label Licensing applies only to branding and attribution removal. It does not automatically transfer source code ownership, intellectual property rights, resale rights, or redistribution rights unless separately agreed through a Source Code Ownership Agreement.
Source Code Ownership Upgrade
Clients requiring complete technical ownership, independent software management, or the ability to modify and maintain the software without Megawebs involvement may request a Source Code Ownership Agreement.
Source Code Ownership is a separate commercial arrangement because it involves transferring access to the core technology assets used to build and operate the software solution.
Intellectual Property & Ownership
Megawebs provides different commercial models depending on the client's business requirements, ownership expectations, and long-term technology goals.
1. Platform Ownership (Software Licensing Model)
Under the Platform Ownership Model, clients receive commercial rights to operate, manage, and grow the developed digital platform for their organization.
The client retains ownership of:
- Their business concept and operational model.
- Their brand identity and customer relationships.
- The users and customer data generated through their business.
- The commercial activities conducted through the platform.
- The right to use the platform for their organization.
Under this model:
- Megawebs retains ownership of reusable software frameworks, development methodologies, technical components, and underlying technology assets unless separately transferred.
- The client receives usage rights to operate the platform but does not automatically receive source code ownership.
- Redistribution, resale, sublicensing, or transfer of the underlying software technology requires written approval from Megawebs.
- Hosting, maintenance, security updates, backups, improvements, and technical support may be provided through separate service agreements.
This model is similar to professional SaaS and software licensing arrangements, where businesses receive full operational value from technology while the software provider maintains ownership of the underlying technology platform.
2. Source Code Ownership Model
The Source Code Ownership Model is a separate commercial agreement designed for clients who require complete technical ownership and independent control of the software solution.
Under this model, Megawebs transfers the agreed software assets required for the client to independently manage, modify, maintain, and further develop the delivered solution.
The client receives ownership of the agreed technical assets, including:
- Complete project source code files included within the agreement.
- Backend application source code and related technical components.
- Frontend application source code and user interface components.
- Database structure, configuration files, and technical documentation delivered as part of the project.
- The ability to modify, extend, and maintain the software solution.
- The ability to engage other qualified developers or technical teams for future improvements.
- Independent technical control of the transferred software assets.
Source Code Ownership transfer becomes effective after completion of the agreed payment obligations and fulfillment of the requirements defined within the Source Code Ownership Agreement.
After successful transfer, the client assumes responsibility for ongoing hosting, infrastructure management, security maintenance, updates, modifications, and future development unless a separate support agreement with Megawebs is established.
Megawebs may continue providing technical support, improvements, maintenance, or development services under a separate agreement if requested by the client.
Source Code Ownership is priced differently from standard licensing because it involves transferring access to the core technology assets rather than providing only operational usage rights.
3. Partnership / Equity Development Model
Megawebs may enter into strategic technology partnerships where development services are provided in exchange for an agreed ownership interest, equity participation, revenue share, or profit-sharing arrangement.
Under this model, Megawebs acts as a technology partner by contributing software architecture, engineering expertise, development resources, technical strategy, infrastructure support, and ongoing technology guidance toward building a shared business opportunity.
Partnership arrangements are evaluated individually based on:
- The business opportunity and market potential.
- The responsibilities and contribution of each partner.
- Required technology investment and development commitment.
- Long-term growth strategy and commercial objectives.
Partnership agreements include clearly defined terms regarding ownership percentages, responsibilities, decision-making authority, intellectual property rights, revenue distribution, and future development obligations.
- Ownership percentages must be agreed before development begins.
- Partner responsibilities are documented through a formal Partnership or Shareholders Agreement.
- Megawebs retains responsibility for technology components assigned to its management unless otherwise agreed.
- Business decisions and strategic direction are governed by the signed partnership agreement.
- No ownership transfer, dilution, or modification of agreed rights may occur without written approval from all relevant parties.
Post-Deployment Support & Maintenance
Megawebs is committed to supporting clients beyond the initial delivery of their digital solutions. Following successful deployment, every project includes a complimentary initial stabilization and maintenance period of three (3) months unless otherwise specified in the project agreement.
During this period, Megawebs will provide technical support focused on ensuring that the delivered solution operates reliably in the production environment. This includes monitoring system performance, resolving deployment-related issues, fixing identified bugs within the agreed project scope, and applying necessary technical adjustments to maintain system stability.
Included During Initial Maintenance Period
- Resolution of technical bugs related to the originally delivered features.
- Deployment support and production environment adjustments.
- Stability improvements and technical optimization.
- Assistance with issues directly related to the completed project implementation.
The complimentary maintenance period does not include major feature development, new modules, redesigns, additional integrations, significant functionality changes, or improvements outside the original project scope. Such requests may be evaluated separately and provided through a new quotation, change request, or maintenance agreement.
After the initial three (3) month support period, clients may continue receiving professional technology services from Megawebs through an optional maintenance agreement. These services may include hosting management, security monitoring, backups, software updates, performance optimization, technical support, and continuous improvements.
Megawebs believes that successful digital products require ongoing improvement. Long-term support agreements allow businesses to keep their platforms secure, updated, and aligned with their evolving operational needs.
Agreement & Acceptance
These Terms and Conditions define the general commercial framework between Megawebs and its clients. Specific project requirements, deliverables, pricing, timelines, ownership arrangements, and additional services may be defined through approved quotations, proposals, invoices, service descriptions, written communications, or other confirmed project arrangements applicable to each project.
Unless explicitly stated otherwise in a written agreement, engaging Megawebs for software development, website development, mobile applications, or digital technology services does not automatically include transfer of source code ownership, underlying technology ownership, or intellectual property rights belonging to Megawebs.
By purchasing Megawebs services, approving a quotation or proposal, making payment, requesting project development, or using Megawebs solutions, the client confirms that they have reviewed, understood, and agreed to these Terms and Conditions.
Megawebs is committed to delivering reliable technology solutions through transparency, professionalism, and mutually beneficial partnerships. These Terms exist to create clarity, protect both parties, and establish a strong foundation for successful digital innovation.
